Terms and Conditions

1. Eligibility

To onboard as a Vendor on NDH, you must:

• Be at least 18 years of age.
• Operate a legitimate service or business registered in Nigeria or your country of residence.
• Provide accurate, verifiable business information and documentation during onboarding.
• Comply with all applicable laws, licenses, and professional standards relevant to your service.

2. Vendor Obligations

As a Vendor on NDH, you agree to:

• Provide truthful and up-to-date information about your business, pricing, and services.
• Deliver services professionally, ethically, and on schedule.
• Maintain communication with clients through approved channels.
• Avoid fraudulent, misleading, or harmful activities on or off the platform.
• Keep your account information confidential and secure.

3. Service Quality & Conduct

NDH expects high standards of service and professionalism.

• Vendors must ensure the quality, safety, and legitimacy of services offered.
• Complaints or poor client experiences may result in suspension or termination.
• Any form of harassment, discrimination, or unprofessional conduct toward clients is prohibited.

4. Listings and Content

• Vendors are responsible for the accuracy of their profile, service listings, and uploaded media.
• NDH reserves the right to edit, suspend, or remove listings that violate platform policies.
• Vendors grant NDH a non-exclusive right to use their business name, logo, and content for marketing and platform promotion purposes.

5. Payments and Fees

• NDH may charge onboarding or listing fees, commissions, or promotional fees as communicated in writing.
• All payments must be made through NDH's approved payment channels.
• Vendors are responsible for any applicable taxes or fees related to their earnings.

6. Verification and Compliance

• NDH reserves the right to verify vendor identity, licenses, and business claims.
• Any falsified information may lead to permanent account termination and legal action.

7. Suspension and Termination

NDH may suspend or terminate vendor access if:

• The Vendor breaches these terms.
• There is evidence of fraud, misconduct, or client harm.
• The Vendor's actions damage NDH's reputation or violate local/international laws.

Vendors may also request voluntary account deactivation at any time.

8. Limitation of Liability

• NDH acts solely as a directory and does not directly provide or guarantee any Vendor services.
• NDH is not liable for disputes, damages, losses, or claims arising between Vendors and clients.
• Vendors operate independently and bear full responsibility for their conduct and services.

9. Intellectual Property

All NDH platform materials, design, and technology remain the property of NDH. Vendors may not copy, redistribute, or exploit NDH content without written consent.

10. Dispute Resolution

In case of disputes between Vendors and clients:

• NDH may mediate informally but is not obligated to resolve disputes.
• Vendors agree to resolve legal disputes under Nigerian law and jurisdiction.

11. Amendments

NDH may update these Terms at any time. Continued use of the platform after updates constitutes acceptance of the revised terms.

12. Acceptance

By completing onboarding and activating your Vendor profile, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
